Medtronic in deal to buy Covidien for $42.9 billion: MarketWatch - Market Pulse - June 15, 2014-.

LOS ANGELES (MarketWatch) -- Medical-technology company Medtronic Inc. MDT -0.15%said Sunday it plans to buy Ireland-based Covidien PLC COV -0.03% in an almost-$43-billion deal, confirming reports out earlier over the weekend. Medtronic said the cash-and-stock transaction would be valued at $93.22 per Covidien share, or about $42.9 billion in total, based on Medtronic's closing stock price of $60.70 per share on Friday. The deal will have Medtronic moving its principal executive offices in Ireland, where corporate taxes are lower. However, Medtronic focused more on the research and market benefits of the deal, saying that as a result of the deal: "Medtronic will commit to $10 billion in technology investments over the next 10 years ... above and beyond Medtronic's and Covidien's existing plans." Medtronic said both boards had approved the deal, which it sees as accretive to earnings in fiscal 2016. It hopes to close the deal late this year or early next. See the press release here
